1. Introduction and Acceptance of Terms


Introduction

Welcome to Cleats Club! Our app provides a unique platform connecting football players with their fans. This document outlines the Terms and Conditions (the "Terms") that govern your use of the Cleats Club mobile application and its associated services (collectively, the "Service"). By accessing or using our Service, you signify that you have read, understood, and agree to be bound by these Terms and to the collection and use of your information as set forth in our Privacy Policy, whether or not you are a registered user of our Service.

Acceptance of Terms


These Terms apply to all visitors, users, and others who access the Service ("Users"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.


Compliance with International Laws

Cleats Club is committed to complying with international laws and regulations, particularly in regards to data protection and privacy. This includes adhering to laws that apply to our international users in regions such as the European Union, the United States, and others, ensuring that all users' rights are respected and protected.

2. Definitions


Definitions

For the purposes of these Terms and Conditions, the following definitions apply:


  • "App" refers to the Cleats Club mobile application through which users access our services.

  • "User" includes any individual who creates an account and uses the App.

  • "Player" refers to the professional football players who use the App to connect with fans.

  • "Content" includes but is not limited to text, images, video, and audio submitted or made available through the App.

  • "Players Lounge" is a feature within the App where Users can view and interact with posts from Players and send messages visible to the Player.

  • "Terraces" refer to temporary chat rooms that are active around the time of football matches, facilitating discussions and updates on the game.

  • "Kit Rooms" are areas within the App where brands may offer special promotions and merchandise.

  • "Cleats Bot" is an automated feature that provides game commentary and other information within the Terraces.

  • "Moderators" are individuals or automated systems appointed by us to monitor and manage interactions within the Terraces to ensure compliance with these Terms.

These definitions are intended to help clarify the terms used throughout this document and ensure that all users have a common understanding of the key concepts related to our Service.


3. User Account and Responsibilities


Account Registration

To access certain features of the Service, you must register and create an account. You can register by providing certain information directly to Cleats Club or by using third-party authentication options such as Google or Apple. When registering directly, you will establish a username and a password. When using third-party authentication, you will be subject to the privacy settings and terms of that service.


Regardless of your method of registration, you agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Cleats Club reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

Account Responsibilities

You are responsible for safeguarding any passwords that you use to access the Service and for any activities or actions under your account, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Account Security

Cleats Club takes the security of your account seriously and employs robust measures to protect your information from unauthorised access. However, we cannot guarantee that unauthorised third parties will never be able to defeat our security measures. You acknowledge that you provide your personal information at your own risk.

Third-Party Authentication

When you register or log in using third-party services such as Google or Apple, you authorise us to access and store certain information from these services according to the permissions granted during the authentication process. This may include your email address, profile information, and other data available based on your privacy settings on those services. We do not control and are not responsible for the privacy practices of these third-party services. 4. User Conduct and Responsibilities

Acceptable Use Policy

You agree to use the App only for purposes that are legal, proper, and in accordance with these Terms and any applicable laws, regulations, and generally accepted practices or guidelines in the relevant jurisdictions. Specifically, you agree not to:

  • Use the Service to send, post, or distribute any material that constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise violate any city, state, national, or international law or regulation.

  • Transmit any viruses, malware, worms, etc., or any content which is malicious, technologically harmful, or designed to disrupt the temporary or ongoing operability of any software or hardware.

  • Harass, abuse, threaten, defame, disillusion, erode, abrade, belittle, intimidate, or otherwise harm any other person using the App.

  • Use the App to send unsolicited advertising or promotions, requests for donations, or spam.

  • Solicit personal information from anyone under the age of 18.

  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.


Enforcement by Cleats Club

Cleats Club reserves the right to review and investigate your use of the App and, at its sole discretion, to terminate your account if you violate these Terms or engage in behaviour that is harmful to the App or any of its users.

Reporting Misconduct

If you interact with someone through the App who you believe is violating these terms, you should report them to us immediately. Cleats Club will review your complaint to determine if the reported behaviour warrants a restriction or termination of the reported user's account.

5. Content Ownership, Licences, and Intellectual Property


Content Ownership


You retain all your ownership rights to the content you submit, post, or display on or through the App. However, by submitting, posting, or displaying content on or through the App, you grant Cleats Club a worldwide, non-exclusive, royalty-free licence (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods now known or later developed.

Licence to Users

Users are granted a non-exclusive, revocable, limited licence to access and use the App and associated content for their personal, non-commercial use in accordance with these Terms. This licence is subject to the App’s usage policies and may be revoked if a user fails to comply with these Terms.

Intellectual Property Rights


The App and all intellectual property pertaining to it, including but not limited to trademarks, logos, graphics, photographs, animations, videos, and text belongs to Cleats Club or is licensed to Cleats Club. Except as expressly provided in these Terms, no part of the App and no content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution, without Cleats Club’s express prior written consent.

Protection of Intellectual Property

You agree to respect the intellectual property rights of others and to not engage in any activity that violates these rights. Any unauthorised use of the content or the App may violate copyright laws, trademark laws, and other applicable laws and could result in criminal or civil penalties.


User-Generated Content

Cleats Club does not claim any ownership rights in the text, files, images, photos, video, sounds, or any other materials (collectively, "Materials") that you post to the App. After posting your Materials, you continue to retain any such rights that you may have in your Materials, subject to the limited licence herein.

6. Privacy and Data Protection


Privacy Policy

Your privacy is very important to us. Cleats Club is committed to protecting the privacy and security of its users. The collection, use, and sharing of your personal data are subject to our Privacy Policy, which is incorporated by reference into these Terms and Conditions. By using the App, you agree that Cleats Club can use such data in accordance with our Privacy Policy.

Cleats Club collects information about you when you use our App, including information you provide directly, information collected through your use of the Service, and information from third-party sources. The types of information we collect may include:

  • With players you follow, to enhance your interaction within the App;

  • With vendors, consultants, and other service providers who need access to such information to carry out work on our behalf;

  • In response to a request for information if we believe disclosure is in accordance with, or required by, any applicable law, regulation, or legal process.

7. Disclaimers, Warranties, and Limitations of Liability


Disclaimers

Cleats Club provides the App and all associated services on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Neither Cleats Club nor any other party involved in creating, producing, or delivering the App warrants that the functions contained in the App will be uninterrupted or error-free, that defects will be corrected, or that the App or the server that makes it available are free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, Cleats Club, its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to, use of, or inability to access or use the App;

  • Any conduct or content of any third party on the App, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties;

  • Any content obtained from the App;

  • Unauthorised access, use, or alteration of your transmissions or content.

  • Indemnification


You agree to defend, indemnify, and hold harmless Cleats Club, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your violation of these Terms, your Content, or your misuse of the App or Services.

General

No advice or information, whether oral or written, obtained from Cleats Club or through the App, will create any warranty not expressly made herein.

8. Termination and Account Cancellation


Termination by User

If you wish to terminate your account, please contact us directly at support@cleats.club. You will need to provide your account details and any other information required to verify your identity. Our support team will guide you through the process of account termination. Upon termination, your profile and all associated data will be deleted from our systems, except for any data that we are required to retain for legal reasons.


Termination by Cleats Club

Cleats Club may terminate or suspend your account without notice at any time and for any reason, including but not limited to a breach of these Terms, upon the request of law enforcement or government agencies, for extended periods of inactivity, for unexpected technical issues or problems, or if Cleats Club suspects that you have used any aspect of the Service in a way that it considers inappropriate or unlawful.

Upon termination by Cleats Club, your right to use the App will immediately cease, and we will deactivate or delete your user account and all associated information and files in your user account, except where we are required by law to retain certain information.

Effect of Termination

Termination of your account will result in the deletion of your data from our systems, except for any data that we are required by law to retain. Data retained will be handled in accordance with our data retention policy and applicable laws.


Survival

Upon termination, all provisions of these Terms which by their nature should survive termination shall remain in effect, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


9. Governing Law and Dispute Resolution


Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United Kingdom. This choice of law does not supersede any mandatory consumer protection legislation in jurisdictions where our users reside.

Dispute Resolution

If a dispute arises out of or in connection with these Terms, we strongly encourage you to contact us first to seek a resolution. If unresolved, disputes may be submitted to binding arbitration under the rules of the London Court of International Arbitration (LCIA). Participation in arbitration is mandatory and the arbitrator's decision will be final and binding.

Costs of Arbitration


Each party is responsible for their own costs related to the arbitration, and both parties will share equally the arbitrator’s fees and administrative costs.

Court Proceedings

If arbitration is not permitted by law, or if any part of the arbitration agreement is found to be unenforceable, you agree that disputes will be brought before the courts located in the United Kingdom.

10. Amendments to the Terms and Conditions


Changes to Terms


Cleats Club reserves the right to modify or replace these Terms at any time, as we deem necessary. If we make changes that are material, we will provide you with notice through the App, by email, or by any other means we find appropriate to give you the opportunity to review the changes before they become effective.

Acceptance of Changes

Your continued use of the App after any changes to the Terms have been made will indicate your agreement to be bound by the updated Terms. If you do not agree to the new terms, you are free to reject them; however, you will no longer have the right to use the App.
